Terms of Service

Welcome to ProBuilder Concrete Estimator. By using our service, you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using ProBuilder ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

2. Description of Service

ProBuilder is a concrete estimation software application that provides tools for creating estimates, managing projects, tracking workers, generating invoices, and related business functions for concrete contractors.

3. Account Registration

To use the Service, you must:

• Create an account with accurate information
• Be at least 18 years of age
• Keep your login credentials secure
• Notify us immediately of any unauthorized access to your account

You are responsible for all activity that occurs under your account.

4. Free Trial

New users receive a 8-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, you must subscribe to continue using the Service.

5. Subscription and Payment

• Price: $1,200 CAD per year
• Billing: Subscriptions are billed annually in advance
• Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Payment Processing: Payments are processed securely through Stripe

7. Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You will retain access until the end of your current billing period
• No partial refunds will be provided for unused time
• Your data will be retained for 30 days after your subscription ends, then deleted

8. Acceptable Use

You agree NOT to:

• Share your account credentials with others
• Use the Service for any illegal purpose
• Attempt to reverse engineer, copy, or redistribute the software
• Interfere with or disrupt the Service
• Attempt to access other users' accounts or data
• Use automated tools to access the Service without permission
• Resell or redistribute the Service

9. Intellectual Property

The Service, including all software, user interface design, visual layout and arrangement, workflow design, screen designs, navigation flow, designs, calculations, formulas, methodologies, and content, is owned by ProBuilder and protected by copyright, trade dress, and other intellectual property laws.

Proprietary Features: The following features are unique proprietary systems developed by ProBuilder, including but not limited to:

• Form Panel Layout and Panel Totals by Height system
• CAD Line Scanner with auto-detect and manual measure modes
• Variable Wall Heights Calculator (Imperial & Metric)
• Field Sheets with integrated Worker Portal system
• Worker Hours tracking with GPS and PIN-based clock-in
• Live Totals calculation system
• Layout List and Load List generators
• Corners Calculator and Ties Calculator
• Winter Supplies Calculator
• Bag Mix Calculator
• PDF Wall Takeoffs system
• Manage Extras change order system
• Multi-location wall system (Main, Garage, Detached, Retaining)
• ProBuilder Buddy™ voice assistant
• Cost Sheet, Invoice, and Contract generators
• Price Editor system
• Imperial/Metric toggle system
• Walls Concrete and Walls Rebar Takeoff tables

This protection extends to all associated calculations, formulas, workflows, user interfaces, methodologies, and visual designs contained within these features.

You may NOT:

• Copy, reproduce, or imitate the user interface, layout, or visual design of the Service
• Replicate the workflow, navigation flow, or user experience design
• Create derivative works based on the look, feel, or functionality of the Service
• Reverse engineer, decompile, or extract any formulas, calculations, or proprietary methods
• Use screenshots or recordings of the Service to create competing products
• Copy or imitate any of the proprietary features listed above

You retain ownership of the data you input into the Service (your projects, estimates, customer information, etc.).

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

• The Service will be uninterrupted or error-free
• The calculations will be 100% accurate for all situations
• The Service will meet all of your requirements

You are responsible for verifying all estimates and calculations before using them in your business.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROBUILDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits or revenue
• Loss of data
• Business interruption
• Errors in estimates or calculations

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ProBuilder from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time. We will provide reasonable notice of significant changes when possible.

15. Termination

We may terminate or suspend your account immediately, without notice, if you violate these Terms. Upon termination, your right to use the Service ceases immediately.

We reserve the right to terminate any account at our sole discretion and issue a prorated refund for the unused subscription period.

16. Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario, Canada.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
